Our services operate on a commission-only basis. We charge no upfront fees and are compensated only upon successful sales conversions as agreed in individual contracts.

3. User Responsibilities

3.1 Client Obligations

As a client, you agree to:

  • Grant necessary platform access for service delivery
  • Maintain quality standards for your products/services
  • Honor all agreed commission payments promptly
  • Provide timely responses to service-related inquiries
  • Comply with all applicable laws and regulations

3.2 Prohibited Activities

You may not:

  • Use our services for illegal or fraudulent activities
  • Misrepresent your business or product information
  • Interfere with our service delivery processes
  • Reverse engineer or copy our proprietary methods
  • Violate intellectual property rights
  • Engage in activities that harm our reputation

4. Data Protection and Confidentiality

4.1 Exclusive Data Use

BUSD commits to using all client data, leads, and proprietary information exclusively for the benefit of the client. We will not use your data for any other client or purpose.

4.2 Data Security

We implement industry-standard security measures to protect your data, including:

  • Encrypted data transmission and storage
  • Access controls and monitoring
  • Regular security audits
  • Secure backup procedures

4.3 Data Retention

Upon termination of services, we will return or securely destroy all client data as specified in individual agreements, retaining only transaction records as required by law.

5. Payment Terms

5.1 Commission Payment

Clients agree to pay agreed-upon commissions for successful sales conversions within the timeframe specified in individual agreements. Payment terms include:

  • Commission rates as per signed agreements
  • Payment within 30 days of invoice receipt
  • Late payment charges may apply after due date
  • Disputes must be raised within 15 days of invoice

5.2 Refund Policy

As a commission-based service, refunds are processed according to our separate Refund Policy. Generally, commissions are non-refundable once services have been delivered and sales completed.

6.2 No Guarantee of Results

7. Intellectual Property

7.1 Client Property

All client data, leads, business information, and proprietary content remain the exclusive property of the client.

7.2 BUSD Property

Our sales methodologies, processes, software, and proprietary techniques remain the intellectual property of BUSD and may not be copied or reverse-engineered.

8. Limitation of Liability

To the maximum extent permitted by law, BUSD's liability is limited to the total amount of commissions paid by the client in the 12 months preceding the claim. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits or business opportunities
  • Market changes or economic conditions
  • Third-party actions or platform changes
  • Force majeure events

9. Termination

9.1 Termination Rights

Either party may terminate the service agreement with 10 days written notice. Immediate termination is allowed for:

  • Material breach of terms
  • Non-payment of agreed commissions
  • Illegal or unethical conduct
  • Insolvency or bankruptcy

9.2 Post-Termination

Upon termination:

  • All platform access will be immediately revoked
  • Outstanding commissions become due
  • Confidentiality obligations continue
  • Data return or destruction as agreed

10. Website Terms

10.1 Website Use

Our website is provided for informational purposes. You may not:

  • Use automated scripts or bots
  • Attempt to access restricted areas
  • Upload malicious content
  • Violate any applicable laws

10.2 Content Accuracy

  3. Binding arbitration under Indian Arbitration laws
  4. Court proceedings as a last resort

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.

Material changes will be communicated via email to registered clients at least 30 days before taking effect.

16. Severability
